1. Acceptance

By accessing or using SeanPropApp at prop.seanoneill.com (the “Service”), you agree to these Terms of Service. If you do not agree, do not use the Service.

2. What the Service Is

SeanPropApp is an AI-assisted tool for structured business proposition analysis. It is operated as a personal project by Sean O'Neill and is currently in beta.

The Service uses a Bring Your Own Key (BYOK) model. You connect your own Anthropic or OpenAI API key, and the Service relays your prompts to your chosen AI provider on your behalf. The Service does not include or resell AI usage.

The Service also includes an MCP (Model Context Protocol) server that lets you run the methodology from compatible AI hosts using your own AI subscription. Inference runs on your host; the Service only assembles the methodology prompt.

You may also run the Service on your own Claude (or other) consumer subscription using the local CLI bridge. On this path the Service relays nothing: your browser connects to a bridge running on your own machine, which calls your AI provider directly using your subscription. The Service never sees, relays, stores, or logs your content on the bridge path. Your use of that subscription is governed by your AI provider's consumer terms, which may differ from its API terms (including on data retention and model training), and you are solely responsible for reviewing and complying with them.

3. MCP Server Access

SeanPropApp provides an MCP (Model Context Protocol) server that assembles a methodology prompt for your AI tool to execute. The Service does not provide an LLM; inference runs on your own AI tool using your own subscription (Anthropic's, OpenAI's, or another provider's). You are responsible for complying with your AI tool provider's terms of service.

Rate limits. MCP access is subject to tier-based rate caps (free, beta, vip, and admin). Current limits: free tier allows 50 requests per day and 20 per hour. Limits may be tuned over time as the service scales. If you exceed a limit, retry after the daily window resets; the Retry-After header in the error response tells you how long to wait.

Service availability. The MCP server has the same uptime expectation as the browser app. The Service depends on Vercel (compute), Supabase (database and auth), and WorkOS (OAuth sign-in for the remote MCP path). An outage at any of these vendors may affect the Service. No SLA is offered for the free tier.

Vendors. Sign-in for the remote MCP path is handled by WorkOS (handles OAuth token issuance only; WorkOS never sees your user content or LLM output). By using remote MCP, you acknowledge that your sign-in is processed by WorkOS under their terms and privacy policy at workos.com/legal/privacy.

4. Eligibility

You must be at least 18 years old to use the Service. If you use the Service on behalf of a company or other organization, you confirm that you have authority to do so and that they accept these terms.

5. Your AI Provider Account

You are solely responsible for any account you maintain with Anthropic, OpenAI, or any other AI provider, whether you connect it via an API key, via the local CLI bridge on a consumer subscription, or via an MCP host, including all usage charges those providers bill to your account and compliance with your subscription's terms.

Your use of any AI provider is also governed by that provider's own terms and policies. You are responsible for complying with them.

You are responsible for your own AI provider account settings, including any preferences governing whether the provider may train models on your sessions or data. SeanPropApp has no visibility into or responsibility for these account-level settings.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or to violate any third party's rights.
  • Attempt to extract, reverse engineer, or republish the Service's underlying analysis methodology or prompts. This applies equally to methodology content obtained through the MCP server; assembled prompts remain SeanPropApp's proprietary methodology and may not be extracted, redistributed, or used to build a competing service.
  • Keep your MCP connection token confidential. You are responsible for activity under your token and must revoke it if it is compromised.
  • Scrape, overload, or interfere with the Service or its infrastructure.
  • Use the Service to generate or disseminate content that is illegal, defamatory, harassing, or designed to harm a third party.
  • Share account credentials or attempt to access another user's account or data.

7. AI-Generated Output

The Service produces analyses, summaries, and recommendations generated by third-party AI models. AI output can be inaccurate, incomplete, biased, or out-of-date.

Output is provided for your information and convenience only. It does not constitute investment, financial, legal, tax, or professional advice. You are solely responsible for reviewing, verifying, and exercising independent judgment before relying on any output for any decision.

8. Intellectual Property

The Service, including its analysis methodology, prompt design, source code, interface, and documentation, is the intellectual property of Sean O'Neill. You do not acquire any ownership rights by using the Service.

Content you input into the Service (documents, company data, prompts) and the corresponding output generated for you remain yours. You grant Sean O'Neill a limited, non-exclusive licence to process such content solely to provide the Service to you, consistent with the Privacy Policy.

9. Beta Status and Changes

The Service is in beta. Features, behaviour, and availability may change at any time without notice. The Service may contain defects, may be temporarily unavailable, and may be discontinued. Pricing is currently free and may change in the future with reasonable notice.

10. Disclaimers and Liability

The Service is provided free of charge, as is and as available, with no warranties of any kind, whether express or implied. We do not warrant that the analysis output is accurate, complete, current, or fit for any particular purpose.

To the maximum extent permitted by law, Sean O'Neill accepts no liability for any loss or damage, direct or indirect, arising from your use of the Service. Nothing in these terms excludes liability that cannot be excluded under applicable law, for example liability for death or personal injury caused by negligence, or for fraud.

11. Termination

You may stop using the Service at any time and request account deletion as described in the Privacy Policy. Sean O'Neill may suspend or terminate access at any time, with or without notice, if these terms are breached or if continued provision of the Service is no longer practical.

12. Changes to These Terms

These terms may be updated from time to time. Material changes will be indicated by updating the “Last updated” date at the top of this page. Continued use of the Service after a change constitutes acceptance of the revised terms.

13. Governing Law

These terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales, except where applicable consumer protection law grants you the right to bring proceedings in your country of residence.
